When a company insider buys their own stock on the open market, they file a Form 4 with the SEC. We read every one as it files, drop the noise, and send you the buys that actually mean something, usually within minutes of the filing hitting EDGAR.

What gets through

Most Form 4s are noise: scheduled sales, option grants, tax withholding. Those never reach you. An alert has to clear all of this first:

  • An open-market purchase (transaction code P), not a grant or an award.
  • At least $50K in value, so a token buy never triggers an alert.
  • Not part of a pre-scheduled 10b5-1 plan, which is a calendar entry rather than a decision.
  • A verified ticker, resolved against the SEC's own company file. If we cannot confirm which stock it is, we drop the alert rather than guess.
  • Context attached: the buyer's role, the size against the company, whether other insiders are buying too, and where the stock has been trading.

Cluster buying gets flagged separately: when three or more insiders at the same company buy inside a week, that reads differently from one director topping up, and the alert says so.

Common questions

What is an SEC Form 4?

A filing that company officers, directors and 10% owners must submit within two business days of trading their own company stock. It is public, it is free to read, and it is where insider buying becomes visible.

How fast do the alerts arrive?

We poll EDGAR every minute. An alert normally lands within minutes of the filing appearing, which is the part that matters: the filing itself is public, being early to it is not.

Why do I get so few alerts?

On purpose. Most Form 4 activity is scheduled selling and option grants that tell you nothing. We would rather send you four buys that matter this week than four hundred filings.

Do insider buys actually predict anything?

Sometimes, and not uniformly. Cluster buying by senior officers reads better than a lone director topping up. We publish how our own calls turned out, including the ones that went against us, so you can judge it yourself rather than take our word for it.
